This Privacy Policy describes the types of personal information collected by Bidirectional Energy, Inc. (“us”) in the course of our business and how we collect, use, and share such information. We welcome your questions and comments on this policy; you can contact us at privacy@bidirectional.energy.

This Privacy Policy applies to personal information collected directly from visitors to the Bidirectional Energy corporate website (including any subdomains, our Website) and from users of the Bidirectional Energy web and mobile application (our App and, together with the Website, the Sites), as well as personal information about such visitors and users (collectively, Users) that we may collect from third parties or otherwise in connection with our provision of our App-based EV Charging Management Software Service (our Service).

For purposes of this Privacy Policy, the term “you” means the individual User of our Sites and/or Service about whom we may collect personal information in the covered circumstances.  All capitalized terms used but not defined in this Privacy Policy shall have the meanings provided in the Bidirectional Energy Terms of Service (our Terms of Service).  

  1. PERSONAL INFORMATION WE COLLECT

The personal information that we collect is divided into three categories: information you provide to us, information we collect automatically, and information we collect from third parties. 

A. Personal information that you provide to us.

The personal data we collect directly from you will depend on how you interact with our Sites, our Service, and us, and may include any of the following:

  • If you download our App, register for a Bidirectional Energy Service account, or request that we contact you for any reason, we will collect contact information such as your name and email address.
  • In connection with your use of the Bidirectional Energy Service, we may collect:
    • Your Bidirectional Energy Service account credentials, such as your username and password. 
    • The address of your residence at which your EV charger is installed.
    • The access credentials for your EV Charger. 
    • Information from your electricity provider regarding your electric utility account (such as your tariff or rate plan, your electricity consumption data, your billing data, and your qualification for and participation in Grid Programs.
    • Any information that you provide to us in connection with any request for service or technical assistance or any other direct correspondence.
  • If you elect to participate in any of our pilot or demonstration programs, promotional offerings, interact with us on social media, respond to any of our surveys or questionnaires, inquire about or apply for employment with us, or communicate with us in any other respect, then we may collect such additional information or correspondence that you provide to us.
  • You are not required by this Privacy Policy to provide us with any specific information, but certain features of the Sites or the Service may not be available or functional without such information.

B. Personal information that we collect automatically.

When you visit our Website, download or use our App, or otherwise engage with our computer networks or systems, our technology may automatically collect personal information such as:

  • Information about your device, including your IP address, device and application information, browser type, plug-ins, integrations, system configuration information and the webpage you were visiting before you came to our Site.
  • Information about how you use our Sites, such as what pages you viewed or used, your activities, and the date and time stamps of your visits or use.
  • Information about how you interact with our marketing materials and other content, including whether you open or click links in any electronic correspondence.
  • Information collected by cookies and similar tracking technologies (e.g., web beacons, device identifiers, and pixels) that we or third-party service providers or advertisers may use to log information about you, your device, your activity on our Sites and your interactions over time across our Sites and other online services. See the Section titled “Your Choices About Your Information” below for more information about cookies and other tracking technology. 

In addition, when you use our Service, our technology may automatically collect personal information such as:

  • Information generated in the course of your use of our Service, including timing, frequency, and pattern of Service use.
  • The Charging Protocols that you select for your EV Charger. 
  • Information about any household energy devices directly or indirectly linked to our Service (such as your EV Charger, your EV, and your home battery), including their digital identifiers, real-time connection and power on/off status, site load, system activity, charge, discharge and performance data, and details about any product cycle or function they are performing.
  • Information about your whole-home electricity use, applicable electricity pricing, and your estimated cost savings through use of the Service.
  • Information regarding your participation in Grid Programs, your grid export activity, and any VPP Awards that you accrue in connection therewith.

C. Personal information that we collect from third parties.

We may obtain personal information about you from companies (such as charger manufacturers, installers, and utilities) with which we have strategic, operational or other business relationships (referred to herein as our “partners”), our marketing and advertising service providers and partners, our existing customers, publicly available sources, and other third parties, including but not limited to:

  • Information about your housing characteristics (such as residence size, solar permitting, and potential qualification for state-funded grants or other incentives) through local government and other public sources.
  • Information for developing marketing leads through public sources such as search engines and social media sites.
  • Information in connection with referrals from other customers or channel partners and other businesses with which we have marketing or referral relationships. 

We may combine personal information that we obtain from third parties with other information we collect automatically or from you and use it as described in this Privacy Policy. These third parties’ privacy policies govern their sharing of your information with us and their other uses of your information; you should contact the third parties for any further information regarding their use of your information.

D. Aggregation or De-Identification of Personal Information.

We may aggregate and/or de-identify any personal information we collect so that it cannot reasonably be used to identify or otherwise be linked to any particular User. Our use and disclosure of any such aggregated and/or de-identified information is not restricted by this Privacy Policy. Such aggregated and/or de-identified information may include, for example and without limitation, the preparation and disclosure to third parties of statistics about our user base and their usage patterns. 

  1. HOW WE USE YOUR PERSONAL INFORMATION 

We may use your personal information for the following business and commercial purposes:

  • To operate, provide, manage, and improve our Sites, the Service and our business.
  • In connection with our internal business functions, such as to track and analyze Service usage and VPP activity.
  • To provide support to you for the Sites and the Service, to respond to your communications and requests, and to send you records and communications regarding our relationship, including but not limited to technical notices and messages about the Service and your Bidirectional Energy account.
  • In connection with our business relationship with you, such as to qualify your utility account for Grid Programs, to inform you of special rate plans, rebates or other incentives, and to pay you VPP Awards.
  • To communicate with you about products, services or events that are marketed or co-marketed by us and to display advertisements. We or our third-party advertising partners may automatically collect information about you through methods such as cookies and other tracking technologies (as described above under “Personal information that we collect automatically”) when you use the Sites, and may use such information to display advertisements on the Sites or elsewhere online, and such advertising may be targeted to you based on your use of the Service or your activity elsewhere online. See the Section titled “Your Choices About Your Information” below for more information about your choices with respect to our use of your information for marketing and advertising purposes. 
  • To generate, analyze, and review data and reports regarding the usage of our Sites, the Service, and our technology.
  • To develop, modify, enhance, debug and improve our Sites, our Service, and our other products and services, and to develop new products and services.
  • To protect the security and integrity of our Sites and our Service, and to prevent, detect, investigate, deter and resolve any suspicious, unauthorized, fraudulent, unethical, malicious, or illegal activity. 
  • For compliance purposes, including but not limited to verify your identity and your rebate or incentive eligibility. 
  • To comply with our legal, regulatory, and contractual obligations (including but not limited to any agreements we may have with you relating to rebate offers or participation in pilot programs), resolve disputes, and enforce our agreements (including but not limited to our Terms of Service), and to protect the rights, privacy, safety, and property of Bidirectional Energy or any other person or entity.
  • For other purposes for which we provide specific notice at the time the information is collected or as to which you provide consent.
  1. HOW BIDIRECTIONAL ENERGY DISCLOSES YOUR PERSONAL INFORMATION 

We may disclose your personal information to third parties for business and commercial purposes as follows:

  • We may share your personal information with our third-party service providers as needed in connection with the operation of our Sites, our Service, and our business (including but not limited to with respect to hosting, cloud services, and payment processing). 
  • We may share your personal information with your EV Charger company and other providers of Service-integrated services or equipment as necessary in connection with the provision of the Service or our relationship with you.
  • We may share information relating to your use of the Service (such as your contact information, site address, energy device information and telemetry data, and your grid exports of electricity and participation in Grid Programs), with your utility, the grid operator, and any regulatory or governmental authority involved in your electricity service or Grid Programs.
  • If you request assistance with referrals to EV installation service providers, then we may share your contact information, site address, utility information, EV Charger model, and other relevant information with members of our preferred installation service provider network for use in connection with their offer and provision of installation services to you. 
  • We may share your contact information and limited information concerning our relationship with you with energy services providers and other third parties with whom we jointly offer products, services or programs or who offer products and services that we think may be of interest to you. We may share information collected through cookies and other tracking technologies with our third-party advertising partners to enable them to present ads to you on our Sites or other platforms. See the Section titled “Your Choices About Your Information” below for more information about your choices with respect to the use of your information for marketing and advertising purposes. 
  • We may disclose your personal information as we believe reasonably necessary (a) to comply with law, regulation, government request,  or legal process (like a court order, search warrant, or subpoena); (b) to enforce our agreements, policies and Terms of Service, (c) to protect the privacy, safety, rights, or property of Bidirectional Energy or any other person or entity; or (d) to protect the security and integrity of our Sites or the Service or to detect, prevent, investigate, deter and resolve any suspicious, unauthorized, fraudulent, unethical, malicious or illegal activity.
  • We may disclose your personal information (i) to our current and future affiliates, subsidiaries and other companies under common control with us, and (ii) to an acquiror or other relevant participant in a business transaction or negotiations for a transaction involving the merger, reorganization, bankruptcy, consolidation, or sale or other transfer of all or any portion of the business or assets of, or equity interests in, Bidirectional Energy.   
  • If you access the Services as an authorized user of an entity, we may disclose your personal information and data relating to your use of the Services to the management of the entity.
  • We may disclose your personal information to third parties at your direction or as to which you provide consent.
  1. YOUR CHOICES ABOUT YOUR INFORMATION.

You have the ability to access, review and change information associated with your Bidirectional Energy Service account (such as your profile information, password, payment information, and Charging Protocols) through the App. You may request our assistance in correcting any inaccurate personal information that cannot be revised through the App by contacting us atprivacy@bidirectional.energy.

You may at any time opt out of marketing-related communication from us by following the opt-out or unsubscribe instructions at the bottom of an email (for email communications), by replying STOP to a marketing text message (for text communications), or by contacting us at privacy@bidirectional.energy (for all marketing communications from us). Even if you opt-out of receiving marketing communications from us, you will continue to receive service-related and other non-marketing communications. 

As described above, we may use, and may allow our service providers and third party advertisers to use, cookies and similar tracking technologies to log information about your use of the Sites and to track your browsing activity over time and across the Service and other online locations. For more information about our use of these tracking technologies, please see our Cookie Policy posted on our Website.  You may be able to block or delete cookies and other tracking technologies through your browser or mobile device settings. Our Sites do not respond to “Do Not Track” or similar signals. Please note that if you block all cookies you may not be able to access or use all parts of our Sites or our Service.

At any time, you may request that we delete the personal information that we have collected about you by emailing us at privacy@bidirectional.energy. You understand and acknowledge that any such request to delete will require the closure of your Bidirectional Energy Service account (as we cannot provide the Service to you without use of your personal information).  Please note that our response to any request to delete your personal information will be subject to reasonable limitations based on the types of the information at issue, its searchability within our systems, our business purposes for such information (including any separate agreements we may have with you that relate to such information), and any restrictions under law or our compliance policies. 

  1. HOW LONG WE KEEP YOUR PERSONAL INFORMATION

We keep your personal information for as long as necessary (i) to provide you with the Bidirectional Energy Service, (ii) to perform our obligations under our Terms of Service, in connection with any Grid Programs, and under any other agreements that we have with you or with respect to your utility account, and (iii) for our other essential business purposes (such as complying with legal and regulatory compliance obligations, maintaining business records, resolving disputes, and enforcing our agreements).

  1. SECURITY

We’re committed to online data security, and for that reason we take technical and organizational measures to protect your personal information against accidental or unauthorized loss, alteration, disclosure or access. However, no method of data transmission or storage is absolutely secure. Therefore, while we strive to protect your information, we cannot guarantee its security.

  1. THIRD PARTY LINKS AND SERVICES

The Sites and the Service may contain links to third-party websites or services. Bidirectional Energy is not responsible for the content or practices of those websites or services. The collection, use, and disclosure of your personal and other information by any such third party is subject to the privacy policies of the third-party website or service, and not this Privacy Policy.

This Privacy Policy also does not cover the handling of your data by any third-party platforms, APIs or service providers that may enable the functionality of our App on your device (such as Google or Apple) or which may otherwise relate to the functionality of the Service (such as, for example, your utility or your EV Charger manufacturer). You should review the terms of service or privacy policies of any such third party for information about their data practices.

  1. CHILDREN UNDER 18

Bidirectional Energy does not knowingly collect information from children under 18. If you believe that your child under the age of 18 has provided any personal information to us, please contact us at privacy@bidirectional.energy.  and we will work to delete any such personal information.

  1. CHANGES TO THIS PRIVACY POLICY 

We will update this Privacy Policy from time to time to reflect changes in our practices, technologies, legal requirements, and other factors. If we do, we will update the “Effective Date” at the top and post the revised Privacy Policy on our website. For significant changes, we will provide a more prominent notice by adding a notice on the Services homepage or your login screen or by sending you an email notification. 

We encourage you to review this Privacy Policy whenever you use the Sites or the Service to stay informed about our information practices. 

If you disagree with any changes to this Privacy Policy, you will need to stop using the Sites and the Service and close your Bidirectional Energy Service account.
